MASTER TERMS & CONDITIONS, POLICIES & GOVERNANCE FRAMEWORK
PART A — GENERAL TERMS & CONDITIONS
1. DEFINITIONS & SCOPE
For the purpose of these Terms:
“VPR QUEENHOOD™” / “Queenhood” means the community, membership platform, programs, activities, events, workshops, networking initiatives, recognition programs, digital communities and related offerings operated under the VPR QUEENHOOD™ name.
“VPR Entertainment” means VPR Entertainment and/or the legally registered entity or entities through which VPR QUEENHOOD™ is operated, together with its authorized representatives, management, employees, contractors and service providers, as applicable.
“Member” means any person whose membership application has been accepted or who participates in VPR QUEENHOOD™ activities.
“Leadership Representative” includes an Ambassador, State Ambassador, City Leader, Mentor, Advisory Council Member, Coordinator, and Volunteer, Event Representative or other person appointed by VPR Entertainment.
These Terms apply to all Members, applicants, participants, ambassadors, mentors, advisors, volunteers, leaders, speakers, guests and other persons engaging with VPR QUEENHOOD™, unless a separate written agreement expressly provides otherwise.
2. ACCEPTANCE OF TERMS
By:
- applying for membership;
- paying a membership or participation fee;
- activating or using membership;
- joining an official community group;
- attending an event or activity;
- participating in a workshop, photo shoot or program;
- submitting content;
- accepting an Ambassador, Mentor, Leader or Advisory role; or
- otherwise participating in VPR QUEENHOOD™,
the individual confirms that they have had an opportunity to read these Terms and agrees to comply with the applicable provisions.
Where a separate written agreement is executed, that agreement shall govern the specific subject matter covered by it to the extent of any inconsistency.
3. NATURE OF MEMBERSHIP
VPR QUEENHOOD™ membership is a voluntary, participation-based community membership.
Membership does not, by itself, create:
- Employment;
- Partnership;
- LLP membership;
- Joint Venture;
- Franchise;
- Agency;
- Shareholding;
- Equity ownership;
- Profit-sharing rights;
- Voting rights in VPR Entertainment;
- Management rights; or
- Ownership interest in VPR Entertainment or VPR QUEENHOOD™.
No representation to the contrary may be made by any Member or Leadership Representative.
4. OWNERSHIP, CONTROL & MANAGEMENT
VPR QUEENHOOD™ is a proprietary initiative operated and controlled by VPR Entertainment and/or its legally authorized entity/entities.
All organizational and commercial control relating to VPR QUEENHOOD™ shall remain with VPR Entertainment, subject always to applicable law and any separate written agreement.
This includes the right to determine:
- Membership structure;
- Programs;
- Events;
- Benefits;
- Eligibility criteria;
- Selection criteria;
- Branding;
- Partnerships;
- Sponsorships;
- Commercial activities;
- Community systems;
- Digital platforms;
- Leadership appointments;
- Operational procedures; and
- Future development of the community.
Membership or participation does not transfer any ownership interest in the organization.
5. NO OWNERSHIP OR FINANCIAL RIGHTS
No Member, Ambassador, Mentor, Advisor, Volunteer, City Leader, Committee Member or Participant acquires any right, title or interest in:
- VPR Entertainment;
- VPR QUEENHOOD™;
- Brand assets;
- Company assets;
- Intellectual property;
- Membership fees;
- Sponsorship income;
- Event revenue;
- Advertising revenue;
- Business profits;
- Website assets;
- Social-media accounts;
- Commercial relationships;
- Financial records;
- Business decisions; or
- Community management.
Any financial compensation, commission, reimbursement or fee payable to a person must be expressly established through a separate written arrangement.
6. MEMBERSHIP BENEFITS
Membership benefits may include, depending upon the applicable membership plan:
- Networking opportunities;
- Workshops;
- Events;
- Community activities;
- Recognition programs;
- Photoshoots;
- Personal branding opportunities;
- Business or professional promotion opportunities;
- Special offers;
- Partner benefits;
- Miera product benefits;
- VPR Miss & Mrs India opportunities; and
- Other benefits announced from time to time.
Benefits are subject to:
- Availability;
- Eligibility;
- Selection criteria;
- Event capacity;
- Scheduling;
- Operational requirements;
- Partner terms;
- Applicable charges; and
- Specific terms applicable to the relevant benefit.
A benefit described as an “opportunity” does not constitute a guaranteed entitlement unless expressly stated otherwise in writing.
7. NO GUARANTEE OF RESULTS OR OPPORTUNITIES
VPR QUEENHOOD™ does not guarantee that membership will result in:
- Employment;
- Income;
- Business growth;
- Fame;
- Modelling opportunities;
- Acting opportunities;
- Brand collaborations;
- Sponsorship;
- Awards;
- Selection;
- Pageant titles;
- Media coverage;
- Followers;
- Sales;
- Networking outcomes; or
- Any particular personal or professional result.
All opportunities remain subject to applicable eligibility, availability, evaluation, selection and program-specific terms.
Testimonials, examples and previous member experiences are individual experiences and shall not be treated as guarantees.
8. VPR MISS & MRS INDIA OPPORTUNITY
Membership may provide an opportunity to participate in or audition for VPR Miss & Mrs India or associated programs.
Membership:
- does not guarantee audition selection;
- does not guarantee finalist selection;
- does not guarantee a title;
- does not guarantee a crown;
- does not guarantee sponsorship;
- does not guarantee participation in the Grand Finale; and
- does not override the official rules of the relevant pageant or program.
All selection decisions shall be based on the applicable official criteria, eligibility requirements, screening, audition and/or evaluation process.
9. MEMBERSHIP FEES
Membership fees, registration fees and other applicable charges shall be displayed or communicated before payment wherever reasonably practicable.
Payment of a fee does not automatically guarantee any separate benefit unless the relevant benefit is expressly included in the applicable membership or event terms.
Members are responsible for providing accurate payment and registration information.
10. REFUND & CANCELLATION POLICY
A Member may discontinue participation at any time.
Unless otherwise stated in writing or required by applicable law, discontinuing membership does not automatically create an entitlement to a refund of fees already paid.
Membership fees are generally non-refundable after membership activation, subject to:
- applicable law;
- any specific written refund commitment;
- payment-provider rules where applicable; and
- circumstances expressly approved by VPR Entertainment.
Event, workshop, photoshoot, travel, accommodation and other program registrations may have separate cancellation and refund terms.
The terms applicable to a particular event shall prevail for that event to the extent of any inconsistency.
VPR Entertainment may cancel, postpone, reschedule or modify an event or program due to operational, venue, safety, governmental, commercial or other legitimate circumstances.
Where appropriate, VPR Entertainment may provide:
- an alternative date;
- an alternative arrangement;
- a credit;
- transfer to another eligible program; or
- a refund,
in accordance with the applicable event terms and applicable law.
VPR Entertainment shall not be responsible for delay, cancellation or inability to perform caused by circumstances beyond reasonable control, including natural disasters, government restrictions, war, civil disturbance, epidemics/pandemics, fire, venue closure, technical failures, transportation disruption or similar circumstances.
Any available remedy shall be determined in accordance with applicable law and the relevant program terms.
11. MEMBERSHIP SUSPENSION & TERMINATION
VPR Entertainment may suspend, restrict or terminate membership or participation where reasonably necessary to:
- Protect Members;
- Protect the community;
- Protect the brand;
- Prevent misuse;
- Address misconduct;
- Prevent unauthorized commercial activity;
- Protect confidential information;
- Address fraud or suspected fraud;
- Address unlawful conduct;
- Address harassment or abuse;
- Protect digital systems or data; or
- Maintain operational integrity.
Depending on the circumstances, action may include:
- Warning;
- Restriction;
- Temporary suspension;
- Removal from a group;
- Removal from an event;
- Suspension of promotional privileges;
- Removal from a leadership role; or
- Termination of membership.
Where appropriate, VPR Entertainment may provide an opportunity to respond before taking action; however, immediate action may be taken where reasonably necessary for safety, security, fraud prevention, confidentiality or protection of the community.
Termination does not eliminate obligations that by their nature survive termination.
12. LEADERSHIP, AMBASSADOR & MENTOR ROLES
Leadership roles may include:
- Ambassador;
- State Ambassador;
- City Ambassador;
- City Leader;
- Mentor;
- Advisory Council Member;
- Volunteer;
- Coordinator;
- Event Representative; and
- Other roles designated by VPR Entertainment.
Unless separately documented through a written contract, such appointments are honorary, voluntary or role-based and do not create employment, partnership, agency, ownership or profit-sharing rights.
VPR Entertainment may appoint, reassign, suspend, replace or remove a Leadership Representative in accordance with applicable law and the applicable appointment terms.
13. LIMITS OF AUTHORITY
No Member or Leadership Representative may, without written authorization:
- Sign contracts on behalf of VPR Entertainment;
- Make financial commitments on behalf of VPR Entertainment;
- Collect membership fees personally;
- Promise sponsorships;
- Guarantee selection;
- Guarantee awards;
- Make official policy statements;
- Represent themselves as the owner;
- Represent themselves as management;
- Create contractual obligations for VPR Entertainment;
- Open accounts using VPR branding;
- Create an official-looking website or social account;
- Use VPR branding for an independent commercial venture; or
- Make representations that exceed the authority granted to them.
Any authority granted shall be limited to the written or officially communicated scope of appointment.
14. MEMBER CONDUCT
Every participant shall:
- Behave respectfully;
- Maintain professional conduct;
- Respect personal boundaries;
- Avoid harassment;
- Avoid threats;
- Avoid abusive behaviour;
- Avoid discriminatory conduct;
- Avoid unlawful activities;
- Respect confidentiality;
- Respect other Members;
- Follow event and venue rules; and
- Follow official community policies.
15. ZERO-TOLERANCE CONDUCT
VPR QUEENHOOD™ prohibits:
- Harassment;
- Bullying;
- Threats;
- Stalking;
- Intimidation;
- Abuse;
- Sexual harassment;
- Unwanted sexual or romantic attention;
- Hate speech;
- Discrimination;
- Defamation;
- Doxxing;
- Misuse of personal information;
- Fraud;
- Impersonation;
- Deliberate misinformation;
- Malicious interference with community operations; and
- Other unlawful or seriously harmful conduct.
16. DIGITAL COMMUNITY RULES
Within WhatsApp Communities, WhatsApp Groups, social-media groups, online platforms or other official community channels, Members shall not:
- Spam;
- Send unsolicited promotional messages;
- Harvest member information;
- Collect member phone numbers for personal use;
- Share member contact information without appropriate permission;
- Add Members to external groups without consent;
- Mass-message Members;
- Misrepresent themselves as official representatives;
- Conduct unauthorized sales;
- Promote unlawful activities; or
- Use the community platform for harassment.
17. COMMUNITY COMMUNICATION & MEMBER-TO-MEMBER CONTACT
VPR QUEENHOOD™ may provide controlled community communication channels.
Members must not use:
- Member directories;
- Community groups;
- Contact lists;
- Internal databases;
- Event registration information; or
- Other community information
for unsolicited personal or commercial solicitation.
This includes:
- Direct promotional messages;
- Bulk messaging;
- Personal business solicitation;
- Unapproved recruitment;
- Unapproved external group invitations; and
- Collection of contacts for independent commercial purposes.
Nothing in this section prevents lawful personal communication where the recipient has independently provided consent or where communication is otherwise permitted by law.
18. COMMUNITY CONTENT SUBMISSION & PROMOTION
Members may submit content for consideration through official channels.
VPR Entertainment may:
- Approve;
- Reject;
- Request changes;
- Edit formatting;
- Delay publication; or
- Remove content
based on community standards, accuracy, relevance, safety, legal considerations or operational requirements.
Approval of a Member's content does not constitute endorsement, verification or guarantee by VPR Entertainment.
19. MEMBER PROMOTION BENEFIT
Where a membership plan expressly includes promotional benefits, an eligible Member may receive up to the number of promotional opportunities stated in that plan, such as:
- Business introduction;
- Professional service;
- Achievement;
- Workshop;
- Event;
- Creative work; or
- Personal branding content.
Promotional opportunities are subject to:
- Membership validity;
- Content standards;
- Available slots;
- Management approval;
- Applicable law; and
- The specific membership plan.
Such benefits are non-transferable unless expressly permitted.
20. CONTENT SUBMISSION STANDARDS
Unless a particular campaign provides different requirements:
- Maximum 400 characters;
- Maximum one promotional image/banner 1:1;
- Professional language;
- Accurate information;
- No unlawful claims;
- No misleading claims;
- Genuine offers only; and
- Appropriate contact information.
VPR Entertainment may format content before publication.
21. PROHIBITED CONTENT
Content may be rejected where it promotes or facilitates:
- Money-doubling schemes;
- Pyramid schemes;
- Unverified investment schemes;
- Fraudulent financial offers;
- Loan scams;
- Fake prize schemes;
- Get-rich-quick schemes;
- Unauthorized financial solicitation;
- Unverified trading signals; or
- Other potentially fraudulent activities.
- Explicit sexual content;
- Sexual services;
- Escort services;
- Inappropriate adult material;
- Content involving exploitation; or
- Other content inappropriate for the community.
- Tobacco promotion;
- Vaping products;
- Illegal drugs;
- Illegal substance-related activities;
- Gambling;
- Betting; or
- Other prohibited/restricted activities.
The community may restrict:
- Political campaigning;
- Political fundraising;
- Political propaganda;
- Content designed to provoke religious conflict;
- Religious conversion solicitation; or
- Content likely to create serious community division.
This does not prevent lawful personal beliefs or discussion outside official promotional channels.
- Hate speech;
- Harassment;
- Defamation;
- Fraudulent claims;
- Copyright infringement;
- Trademark infringement;
- False or misleading information;
- Illegal activities;
- Dangerous unlawful products;
- Unauthorized weapons-related promotion; or
- Content violating applicable law.
22. BUSINESS & PROFESSIONAL PROMOTION
Professional promotion may be permitted after management review.
Approval:
- does not constitute endorsement;
- does not constitute certification;
- does not guarantee quality;
- does not establish a partnership; and
- does not make VPR Entertainment responsible for the Member's products or services.
The Member remains responsible for all representations, pricing, taxes, licences, regulatory compliance, customer service and legal obligations relating to their business.
23. MEMBER-TO-MEMBER TRANSACTIONS
Members should conduct independent due diligence before:
- Purchasing products;
- Engaging services;
- Investing money;
- Entering business relationships;
- Attending external events; or
- Entering into contracts with another Member.
VPR Entertainment is not automatically a party to transactions between Members and does not guarantee the performance, legality, quality or financial standing of another Member.
24. INTELLECTUAL PROPERTY
All rights in and relating to VPR QUEENHOOD™ materials, including:
- Name;
- Logo;
- Brand identity;
- Trademarks;
- Designs;
- Graphics;
- Website content;
- Photographs created by or for VPR Entertainment;
- Videos;
- Training materials;
- Publications;
- Community systems;
- Original written materials;
- Promotional materials; and
- Other proprietary content
belong to VPR Entertainment and/or the relevant rights holder.
The applicable intellectual-property laws of India, including the Copyright Act, 1957 and Trade Marks Act, 1999, may apply to such rights.
No Member receives a licence to commercially exploit VPR intellectual property merely through membership.
25. BRAND & TRADEMARK USAGE
No Member, Ambassador, Mentor or other participant may:
- Register a confusingly similar domain name;
- Register a confusingly similar social-media account;
- Use the VPR QUEENHOOD™ logo without permission;
- Create unofficial merchandise;
- Create unofficial membership cards;
- Create unofficial certificates;
- Create unofficial pages representing themselves as VPR management;
- Use VPR branding for independent commercial activity; or
- Represent an independent activity as an official VPR activity.
Written permission may be granted for specific approved uses.
26. PHOTOS, VIDEOS, MEDIA & PUBLICITY
VPR QUEENHOOD™ may conduct events, workshops, photoshoots, interviews, recordings and promotional activities.
Where a Member voluntarily participates in an activity involving photography, filming or recording, the applicable event/media consent terms shall apply.
Where consent is required, VPR Entertainment may use approved photographs, videos, audio recordings and related content for:
- Editorial purposes;
- Promotional purposes;
- Marketing;
- Social media;
- Website content;
- Public relations;
- Educational content;
- Community communications; and
- Commercial promotion,
subject to applicable law and the consent actually provided.
No separate payment shall be due unless expressly agreed in writing.
Where a specific activity requires separate media consent, such consent may be obtained separately.
27. PRIVACY & PERSONAL DATA
VPR QUEENHOOD™ may collect and process personal information for legitimate and disclosed purposes, subject to applicable privacy and data-protection laws.
Information may include:
- Name;
- Date of birth;
- Age;
- Address;
- City and State;
- Mobile number;
- WhatsApp number;
- Email address;
- Social-media information;
- Photograph;
- Membership information;
- Event participation information;
- Communication preferences; and
- Community engagement information.
The information collected shall be limited to purposes reasonably connected with membership, operations, communication, events, programs, security, support, analytics, marketing where appropriately permitted, and legal obligations.
28. DATA USE
Personal information may be processed for:
- Membership administration;
- Membership verification;
- Event management;
- Community communication;
- Customer/member support;
- Recognition programs;
- Surveys and feedback;
- Internal analytics;
- Service delivery;
- Safety and security;
- Marketing where permitted; and
- Legal or regulatory compliance.
Applicable data-protection requirements and individual rights shall be respected.
29. DATABASE & COMMUNITY RECORDS
VPR Entertainment may maintain and control its business databases, membership systems, records, compilations and operational records.
No Member or Leadership Representative may:
- Copy;
- Download;
- Export;
- Sell;
- Distribute;
- Transfer;
- Scrape;
- Harvest;
- Commercially exploit; or
- Create unauthorized parallel databases
from VPR community information.
This clause does not mean that VPR Entertainment acquires ownership of an individual's personal identity or eliminates rights available to individuals under applicable data-protection law.
30. DATA SHARING
VPR Entertainment may share relevant information with:
- Authorized employees;
- Technology/service providers;
- Event partners;
- Payment/service providers;
- Professional advisers;
- Legal authorities; or
- Other authorized parties
where reasonably necessary for disclosed purposes, contractual performance, security, legal compliance or as otherwise permitted by applicable law.
VPR Entertainment does not intend to sell personal data as a standalone commercial commodity.
31. DATA SECURITY
VPR Entertainment shall seek to maintain reasonable technical and organizational safeguards appropriate to the nature of the information handled.
However, no internet, cloud, messaging or electronic-storage system can be guaranteed to be completely secure.
Members should avoid sharing highly sensitive information through unofficial channels.
32. DATA CORRECTION & RIGHTS
Members may contact VPR Entertainment regarding correction or updating of inaccurate personal information and other applicable privacy requests.
Certain information may be retained where reasonably necessary for:
- Legal compliance;
- Accounting;
- Dispute resolution;
- Fraud prevention;
- Security;
- Contractual records; or
- Legitimate operational record-keeping.
Requests shall be handled in accordance with applicable law and the applicable privacy framework.
33. CONFIDENTIALITY
Members and Leadership Representatives may receive confidential information relating to:
- Business operations;
- Member information;
- Marketing plans;
- Commercial arrangements;
- Sponsorships;
- Financial information;
- Strategic plans;
- Internal processes;
- Unpublished event information; and
- Other information reasonably understood to be confidential.
Such information shall not be disclosed, copied or commercially used without authorization.
Confidentiality obligations shall continue after membership or appointment ends to the extent the information remains confidential.
34. NON-DISPARAGEMENT & REPUTATIONAL PROTECTION
Members and Leadership Representatives shall not knowingly make false statements or intentionally engage in unlawful conduct designed to damage the reputation of:
- VPR QUEENHOOD™;
- VPR Entertainment;
- Its authorized representatives;
- Members;
- Partners;
- Sponsors; or
- Event participants.
Nothing in this clause prohibits:
- Truthful statements;
- Good-faith complaints;
- Lawful reporting to authorities;
- Exercising statutory rights; or
- Giving truthful evidence or testimony.
35. FALSE OR MALICIOUS COMPLAINTS
Knowingly submitting false, fabricated or malicious complaints may result in disciplinary action.
However, a complaint shall not be treated as malicious merely because it is not substantiated.
VPR Entertainment may investigate complaints fairly and take appropriate action based on available information.
36. COMPLAINTS & REPORTING
Concerns regarding misconduct may be reported through:
Reports will be handled confidentially to the extent reasonably practicable and permitted by law.
Where a complaint involves serious unlawful conduct, VPR Entertainment may refer the matter to the appropriate authority.
37. INVESTIGATION & DISCIPLINARY ACTION
Depending on the circumstances, VPR Entertainment may take:
- Warning;
- Written direction;
- Temporary restriction;
- Removal from an event;
- Removal from a digital group;
- Suspension of promotional privileges;
- Suspension of membership;
- Removal from leadership;
- Termination of membership; and/or
- Legal action where appropriate.
Action shall be proportionate to the circumstances and subject to applicable law.
38. EVENT SAFETY & PERSONAL RESPONSIBILITY
Participation in physical events, travel, workshops, photoshoots, outdoor activities and other programs may involve inherent risks.
Members are expected to:
- Follow safety instructions;
- Follow venue rules;
- Disclose relevant participation limitations where necessary;
- Behave responsibly; and
- Follow instructions of authorized event personnel.
VPR Entertainment shall not be responsible for risks arising solely from a Member's own misconduct, unauthorized acts or violation of safety instructions, subject to applicable law.
39. THIRD-PARTY SERVICES & PARTNERS
VPR QUEENHOOD™ may work with:
- Hotels;
- Venues;
- Photographers;
- Makeup artists;
- Trainers;
- Event agencies;
- Technology providers;
- Sponsors;
- Brands; and
- Other third parties.
Third-party services may be governed by their own terms.
VPR Entertainment shall not be responsible for matters solely attributable to an independent third party, except to the extent responsibility cannot lawfully be excluded.
40. MANAGEMENT DISCRETION
Subject to applicable law and contractual commitments, VPR Entertainment may:
- Approve or reject applications;
- Modify benefits;
- Modify schedules;
- Change venues;
- Change event formats;
- Modify membership structures;
- Restrict access;
- Modify community procedures;
- Remove content;
- Restrict promotional privileges;
- Appoint or remove leaders; and
- Introduce new programs.
Where a material change affects an existing paid contractual commitment, VPR Entertainment shall handle the matter in accordance with applicable law and the relevant terms.
41. POLICY UPDATES
VPR Entertainment may update these Terms and related policies from time to time.
Updated versions may be published through:
- Website;
- Member portal;
- Official communication;
- Email;
- WhatsApp or other official communication channel.
Where legally required, appropriate notice shall be provided.
Continued participation after the effective date of updated Terms may constitute acceptance to the extent permitted by law.
42. ELECTRONIC ACCEPTANCE
Electronic acceptance, including:
- Website checkbox;
- Online registration;
- Digital form submission;
- OTP verification;
- Electronic acknowledgement;
- Email confirmation; or
- Other electronically recorded acceptance
may constitute evidence of acceptance, subject to applicable law.
Members are responsible for maintaining the confidentiality of their login credentials and registration information.
43. DISCLAIMER
VPR QUEENHOOD™ is a lifestyle, confidence, networking, recognition and community initiative.
Participation does not guarantee:
- Income;
- Employment;
- Business success;
- Fame;
- Modelling work;
- Acting work;
- Pageant selection;
- Awards;
- Sponsorship;
- Brand collaborations;
- Media coverage; or
- Any particular outcome.
All opportunities remain subject to their applicable eligibility, selection, availability and program-specific conditions.
44. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, VPR Entertainment shall not be liable for indirect, incidental, special or consequential loss arising solely from voluntary participation in VPR QUEENHOOD™ activities.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
Nothing in these Terms shall be interpreted as excluding statutory consumer rights, data-protection rights or other mandatory legal protections.
45. MEMBER RESPONSIBILITY & INDEMNITY
To the extent permitted by law, a Member may be responsible for losses, claims, costs or liabilities arising from:
- Their unlawful conduct;
- Fraud;
- Deliberate misconduct;
- Unauthorized representations;
- Unauthorized use of VPR intellectual property;
- Misuse of community data;
- Violation of third-party rights; or
- Breach of these Terms.
Any indemnity shall apply only to the extent legally enforceable and shall not eliminate rights that cannot lawfully be waived.
46. SEVERABILITY
If any provision of these Terms is held invalid, unlawful or unenforceable by a competent authority, that provision shall be modified or severed only to the extent necessary, and the remaining provisions shall continue to the extent permitted by law.
47. NO WAIVER
Failure by VPR Entertainment to enforce any provision immediately shall not constitute a permanent waiver of that provision or of the right to enforce it later.
48. SURVIVAL
The provisions concerning:
- Intellectual property;
- Confidentiality;
- Data misuse;
- Unauthorized representation;
- Payment obligations;
- Liability;
- Dispute resolution; and
- Other provisions intended by their nature to survive
shall continue after termination to the extent applicable.
49. GOVERNING LAW & DISPUTE RESOLUTION
These Terms shall be governed by the laws of India.
The parties shall first attempt in good faith to resolve disputes through written communication.
Subject to applicable law and any mandatory jurisdiction granted to a competent statutory authority, disputes shall be subject to the jurisdiction of the competent courts at Ahmedabad, Gujarat, India, to the extent legally permissible.
Nothing in this clause shall prevent a person from exercising any statutory right or approaching a forum that has mandatory jurisdiction under applicable law.
50. ENTIRE TERMS
These Master Terms together with the applicable:
- Membership terms;
- Refund/Cancellation Policy;
- Privacy Policy;
- Data Usage & Consent Policy;
- Code of Conduct;
- Community Guidelines;
- Communication Policy;
- Leadership Policy;
- Event-specific terms; and
- Any separate written agreement
constitute the applicable framework governing participation in VPR QUEENHOOD™.
Where a specific event or written agreement contains specific terms, those specific terms shall apply to that subject matter to the extent of any inconsistency.
PART B — CODE OF CONDUCT & ANTI-HARASSMENT POLICY
51. COMMUNITY COMMITMENT
VPR QUEENHOOD™ aims to maintain a safe, respectful, positive and inclusive environment.
All Members, Ambassadors, Mentors, Advisors, Volunteers, Leaders, Speakers, Guests and Participants are expected to maintain professional and respectful conduct.
52. COMMUNITY VALUES
Members agree to:
- Treat others with dignity;
- Respect personal boundaries;
- Encourage positive interactions;
- Support women's empowerment;
- Communicate professionally;
- Respect diversity;
- Follow safety instructions; and
- Maintain community standards.
53. PROHIBITED HARASSMENT
Harassment includes, without limitation:
- Offensive comments;
- Insults;
- Repeated unwanted contact;
- Intimidation;
- Humiliation;
- Threats;
- Stalking;
- Unwanted romantic attention;
- Unwanted sexual attention;
- Inappropriate messages;
- Harassing calls;
- Online harassment;
- Sharing private information without authorization; and
- Other conduct prohibited by applicable law.
Harassment may occur online or offline.
54. PHOTOGRAPHY & PRIVATE CONTENT
Members shall respect the privacy of other participants.
Members shall not, without appropriate authorization:
- Use another person's private photographs;
- Misuse event photographs;
- Create misleading content using another person's identity;
- Share private recordings;
- Share confidential conversations; or
- Publish private information.
55. RECORDING & SURVEILLANCE
Members must comply with applicable law concerning recording, photography, privacy and personal information.
Unauthorized recording or distribution of private conversations, private spaces or sensitive content may result in disciplinary action where appropriate.
56. EVENTS & MEETUPS
During events, workshops, photoshoots and meetups, Members shall:
- Behave professionally;
- Follow venue policies;
- Respect personal boundaries;
- Follow organizer instructions;
- Avoid disruptive conduct; and
- Maintain a positive environment.
PART C — COMMUNITY GUIDELINES
57. MEMBERS SHOULD
- Treat others respectfully;
- Encourage positive interactions;
- Respect differing opinions;
- Follow community rules;
- Maintain professionalism;
- Protect confidential information; and
- Report serious concerns appropriately.
58. MEMBERS MUST NOT
- Harass;
- Threaten;
- Bully;
- Use abusive language;
- Spread knowingly false information;
- Promote unlawful activities;
- Collect member information without authorization;
- Conduct unauthorized commercial promotions;
- Misuse community platforms;
- Impersonate VPR representatives; or
- Damage community systems or property.
59. COMMUNITY MODERATION
VPR Entertainment may, subject to applicable law:
- Remove content;
- Restrict access;
- Restrict posting;
- Suspend promotional privileges;
- Remove Members from community channels; or
- Terminate membership
where reasonably necessary to enforce community standards.
PART D — COMMUNITY COMMUNICATION & CONTENT POLICY
60. OFFICIAL POSTING SYSTEM
Promotional content shall not be directly posted in restricted official announcement channels unless the platform permits it and VPR Entertainment has authorized it.
Members may submit content through the designated submission process.
Management may approve, reject, modify or remove content.
61. PROMOTIONAL CONTENT
Approved promotional content may include:
- Business introduction;
- Professional services;
- Achievements;
- Workshops;
- Events;
- Creative work; and
- Personal branding.
Approval does not constitute endorsement.
62. REPEAT VIOLATIONS
Repeated violations may result in:
- Warning;
- Temporary restriction;
- Removal from community platforms;
- Suspension;
- Termination; and/or
- Other lawful action.
Refund consequences shall be governed by the applicable refund terms and applicable law.
PART E — LEADERSHIP POLICY & GOVERNANCE CHARTER
63. PURPOSE
This Charter establishes the structure, authority, responsibilities and limitations of leadership positions associated with VPR QUEENHOOD™.
It applies to:
- Founding Queens;
- Mentors;
- Advisory Council Members;
- Ambassadors;
- State Ambassadors;
- City Leaders;
- Volunteers;
- Coordinators;
- Event Representatives; and
- Other appointed leadership roles.
64. GOVERNANCE STRUCTURE
The indicative structure may be:
This structure is administrative and does not create independent legal authority.
VPR Entertainment may modify the structure whenever reasonably required.
65. MEMBERS
Members may:
- Attend approved activities;
- Participate in programs;
- Access applicable benefits; and
- Submit eligible content.
Members may not:
- Represent VPR officially without authorization;
- Issue official statements;
- Use official branding without permission;
- Collect member data for personal purposes;
- Make financial commitments on behalf of VPR; or
- Promise benefits not officially authorized.
66. ADVISORY COUNCIL
The Advisory Council may provide:
- Strategic guidance;
- Professional expertise;
- Recommendations;
- Special initiative support.
Unless separately agreed in writing, Advisory Council members do not have authority to:
- Direct employees;
- Control operations;
- Approve expenditures;
- Access databases without authorization;
- Sign contracts;
- Claim ownership; or
- Override management decisions.
The role is advisory.
67. QUEENHOOD MENTORS
Mentors may:
- Conduct workshops;
- Conduct training;
- Participate in panels;
- Share educational content; and
- Support members.
Mentors may not:
- Collect member databases;
- Use member lists for solicitation;
- Conduct unauthorized promotions;
- Present themselves as management; or
- Create paid offerings using VPR branding without authorization.
68. AMBASSADORS
Ambassadors may:
- Share official information;
- Support events;
- Support community initiatives;
- Encourage participation.
Ambassadors may not:
- Make unauthorized commitments;
- Sign agreements;
- Collect fees personally without written authorization;
- Promise selection or sponsorship;
- Create unofficial official-looking groups; or
- Represent themselves as owners or management.
69. STATE AMBASSADORS
State Ambassadors may support:
- Regional networking;
- Community promotion;
- Event support;
- Reporting opportunities.
They do not possess independent management authority unless expressly granted in writing.
70. CITY LEADERS
City Leaders may:
- Coordinate approved meetups;
- Encourage participation;
- Assist communication;
- Support local activities.
They may not:
- Make financial commitments;
- Collect funds without authorization;
- Change official policies;
- Promise benefits;
- Sign contracts; or
- Represent unauthorized policy decisions.
71. VOLUNTEERS
Volunteers assist with designated activities.
Unless separately agreed in writing, volunteer participation does not create employment, partnership, ownership or management rights.
72. LEADERSHIP APPOINTMENT & REMOVAL
Appointments are made by VPR Entertainment.
Subject to applicable law and the applicable written appointment terms, VPR Entertainment may:
- Appoint;
- Reassign;
- Suspend;
- Replace;
- Modify responsibilities; or
- Remove
a leadership representative.
73. CONFLICT OF INTEREST
Leadership representatives shall disclose material conflicts of interest.
Personal business interests shall not be presented as official VPR opportunities without authorization.
74. OFFICIAL COMMUNICATION
Official announcements shall only be issued by authorized VPR Entertainment representatives or persons expressly authorized in writing.
75. SOCIAL MEDIA GOVERNANCE
Only authorized persons may:
- Manage official pages;
- Publish official announcements;
- Access official accounts;
- Use official branding for official communications.
Unauthorized access or use may result in disciplinary and/or legal action where appropriate.
76. WHATSAPP COMMUNITY GOVERNANCE
Members and Leadership Representatives shall not:
- Harvest contact information;
- Spam;
- Send unsolicited mass marketing;
- Add members to external groups without consent;
- Use community data for personal commercial purposes.
Promotional content shall follow the official community communication system.
PART F — DATA USAGE & CONSENT POLICY
77. PURPOSE
VPR QUEENHOOD™ may process personal information for legitimate, disclosed and applicable purposes connected with membership and community operations.
78. DATA MAY BE USED FOR
- Membership management;
- Event management;
- Community communication;
- Membership verification;
- Recognition programs;
- Surveys;
- Feedback;
- Analytics;
- Customer/member support;
- Marketing where appropriately permitted; and
- Legal compliance.
79. MEDIA CONSENT
Where applicable, Members may be asked separately to consent to:
- Photography;
- Videography;
- Interviews;
- Audio recordings;
- Social-media content;
- Promotional content;
- Editorial content; and
- Commercial publicity.
The scope of any consent shall be communicated through the applicable consent mechanism.
80. WITHDRAWAL / CORRECTION REQUESTS
Members may contact VPR Entertainment regarding applicable requests to:
- Correct information;
- Update information;
- Exercise applicable privacy rights; or
- Withdraw consent where withdrawal is legally available.
Withdrawal may not affect processing already lawfully completed and may not require deletion where retention is legally or operationally necessary.
PART G — PRIVACY POLICY

VPR QUEENHOOD™ respects the privacy of Members and seeks to process personal information responsibly and in accordance with applicable Indian law.
82. INFORMATION COLLECTED
Depending upon the service, VPR QUEENHOOD™ may collect:
- Name;
- Date of birth;
- Age;
- Contact details;
- Address;
- City/State;
- WhatsApp number;
- Email;
- Social-media information;
- Photographs;
- Membership details;
- Event participation;
- Communication records;
- Preferences; and
- Other information reasonably required for the relevant service.
83. DATA SHARING
Information may be shared with authorized service providers and partners where reasonably necessary for:
- Payment;
- Technology;
- Event operations;
- Communication;
- Customer/member support;
- Security;
- Legal compliance; or
- Other disclosed purposes.
VPR Entertainment does not intend to sell Member personal data as a standalone commercial asset.
84. SECURITY
Reasonable safeguards may be used to protect personal information.
Members acknowledge that no digital system can guarantee absolute security against every possible cyber or technical incident.
85. PRIVACY POLICY UPDATES
This Privacy Policy may be updated from time to time.
The updated version shall be published or communicated through appropriate channels where required.

The Founding Membership offer is subject to availability, eligibility, successful registration/payment and the applicable official terms.

Selected/eligible VPR Miss & Mrs India 2027 participants may receive up to:

- is not cash;
- is not transferable;
- is subject to official eligibility and selection;
- is subject to the official VPR Miss & Mrs India 2027 terms;
- applies only to eligible/selected participants; and
- is intended for eligible Grand Finale participation as specified by the official program terms.
Unless specifically included in the applicable written offer, the sponsorship does not automatically cover:
- Travel;
- Personal expenses;
- Optional services;

89. FOUNDING MEMBER LIMIT

90. QUEENHOOD ADVANTAGE
As a VPR QUEENHOOD™ Member, eligible Members receive an opportunity to participate in the VPR Queenhood community and, where expressly included, an opportunity to audition for VPR Miss & Mrs India 2027 Season 6.
Audition and final selection remain subject to the official selection criteria and process.
PART I — IMPORTANT LEGAL PROTECTIONS
91. NO UNAUTHORIZED REPRESENTATION
No Member, Ambassador, Mentor, Advisor, Volunteer or Leader may represent that:
- They own VPR QUEENHOOD™;
- They own VPR Entertainment;
- They have authority beyond their written appointment;
- They can guarantee selection;
- They can guarantee sponsorship;
- They can guarantee employment;
- They can guarantee awards; or
- They can bind VPR Entertainment contractually.
92. UNAUTHORIZED COLLECTION OF MONEY
Unless expressly authorized in writing, no individual may collect:
- Membership fees;
- Event fees;
- Sponsorship amounts;
- Donations;
- Advertising fees;
- Commission; or
- Other payments
in the name of VPR QUEENHOOD™ or VPR Entertainment.
93. UNAUTHORIZED USE OF MEMBER DATA
Any unauthorized acquisition, copying, export, sale, transfer, publication or commercial use of Member information may result in:
- Immediate restriction;
- Suspension;
- Termination;
- Recovery of losses where legally available; and/or
- Appropriate civil or criminal action where applicable.
94. UNAUTHORIZED BRAND USE
Unauthorized use of:
- VPR QUEENHOOD™;
- VPR Entertainment;
- Logos;
- Names;
- Designs;
- Certificates;
- Membership cards;
- Official photographs;
- Official documents; or
- Other protected assets
may result in appropriate legal action.
95. LEGAL RIGHTS RESERVED
Nothing in these Terms shall be interpreted as:
- Waiving a statutory right;
- Preventing a lawful complaint;
- Preventing a person from approaching a competent authority;
- Excluding mandatory consumer protections;
- Excluding mandatory data-protection rights; or
- Limiting liability that cannot legally be limited.
PART J — FINAL ACCEPTANCE
By applying for, purchasing, activating or participating in VPR QUEENHOOD™, the Member confirms that they:
- Have read the applicable Terms and Policies;
- Understand the nature of the membership;
- Understand that membership does not create ownership or employment;
- Understand that opportunities are not guaranteed;
- Agree to follow the Code of Conduct;
- Agree to follow Community Guidelines;
- Agree to comply with applicable communication rules;
- Understand the applicable refund/cancellation provisions;
- Understand the applicable privacy/data provisions;
- Agree not to misuse VPR intellectual property or community information; and
- Agree to comply with applicable law.
VPR QUEENHOOD™
These Terms & Policies are intended to establish the operating, membership, conduct, privacy, communication and governance framework of VPR QUEENHOOD™.
They should be read together with any specific event terms, payment terms, privacy notices, consent forms and separate written agreements applicable to a particular service.
